1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by SocialSgnl ("we," "our," or "us") through our website and platform (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

SocialSgnl provides a social media management platform designed to help businesses monitor and engage with their communities on Facebook Groups. The Service includes features for post monitoring, AI-assisted comment drafting, comment moderation and approval workflows, content scheduling, brand profile management, group management, and analytics.

The Service uses artificial intelligence to draft suggested comments based on your brand profile and the content of Facebook Group posts. You retain full control over which comments are published through manual review or configurable approval settings.

3. Account Eligibility & Registration

You must be at least 18 years old to use the Service. By registering, you represent that you are at least 18 years of age and that all information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other security breach at support@socialsgnl.com.

4. Facebook Account Connection

To use certain features of the Service, you must connect a Facebook account by providing your Facebook session cookies. By doing so, you:

  • Represent that you are the authorized owner of the Facebook account.
  • Acknowledge that you are granting us permission to access Facebook Groups and post comments on your behalf.
  • Accept responsibility for all actions taken on Facebook through the Service using your account.
  • Understand that providing session cookies carries inherent security risks, and we recommend using a dedicated Facebook account.

We encrypt and securely store your Facebook session cookies. You may disconnect your Facebook account and remove stored cookies at any time.

5. User Responsibilities & Acceptable Use

You are solely responsible for your use of the Service and for all content generated and posted through your account. You agree to:

  • Comply with all applicable local, national, and international laws and regulations.
  • Comply with Facebook's Terms of Service, Community Standards, and all applicable platform policies.
  • Review AI-generated comments for accuracy, appropriateness, and compliance before approving them for posting.
  • Monitor and manage your account settings responsibly.

You explicitly agree not to use the Service for:

  • Spamming, harassment, bullying, or any form of abusive behavior.
  • Posting misleading, deceptive, or fraudulent content.
  • Impersonating individuals, brands, or organizations.
  • Promoting illegal products, services, or activities.
  • Circumventing or violating Facebook's rate limits, platform policies, or terms of use.
  • Collecting data from Facebook Groups for purposes unrelated to the Service.
  • Attempting to reverse-engineer, decompile, or disassemble any part of the Service.
  • Sharing your account credentials or providing access to unauthorized users.

We reserve the right to suspend or terminate accounts that violate these terms without notice or refund.

6. AI-Generated Content

The Service uses artificial intelligence to generate comments and analysis. You acknowledge that:

  • AI-generated content may not always be accurate, appropriate, or suitable for posting.
  • You are solely responsible for reviewing and approving AI-generated content before it is posted.
  • If you enable streamlined approval, you accept full responsibility for comments published on your behalf based on your configured confidence thresholds.
  • We do not guarantee that AI-generated content will achieve any particular engagement, business, or marketing outcome.
  • AI-generated content should not be relied upon as professional, legal, medical, or financial advice.

7. Subscriptions & Payments

7.1 Subscription Plans

The Service is offered through subscription plans with varying feature limits, including AI request quotas, brand limits, group limits, and scheduling intervals. Details of available plans and pricing are displayed on our website and within the platform.

7.2 Billing & Renewal

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

7.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until your current period expires. No prorated refunds are provided for partial billing periods.

7.4 Price Changes

We reserve the right to modify subscription pricing. We will provide at least 30 days' notice of any price increase. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

7.5 Refunds

Refund requests are handled on a case-by-case basis. Please contact us at support@socialsgnl.com within 14 days of a charge if you believe a refund is warranted.

8. Intellectual Property

The Service, including its design, code, features, algorithms, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of SocialSgnl and its licensors. These Terms do not grant you any rights to use our trademarks, logos, or branding.

You retain ownership of the brand data, custom instructions, and other content you provide to the Service. By using the Service, you grant us a limited, non-exclusive license to use your content solely for the purpose of providing and improving the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) AI-generated content will be accurate, appropriate, or effective; (c) the Service will meet your specific requirements; (d) your use of the Service will comply with Facebook's terms or policies; or (e) any particular results will be achieved through use of the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOCIAL SGNL, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LOSS OF PROFITS, DATA, USE, OR GOODWILL; FACEBOOK ACCOUNT SUSPENSION, RESTRICTION, OR BANNING; LOSS OF BUSINESS OPPORTUNITIES; OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless SocialSgnl and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including Facebook's terms of service; (d) any content generated or posted through your account; or (e) any third-party claims related to actions taken on Facebook through the Service using your account.

12. Termination

We may suspend or terminate your account immediately, without prior notice, if you: (a) breach these Terms; (b) engage in activity that could harm the Service or other users; (c) use the Service for illegal purposes; or (d) fail to pay applicable fees. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

You may terminate your account at any time by contacting us or through your account settings. Termination does not entitle you to a refund of prepaid fees except as described in Section 7.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet outages, third-party platform changes or outages (including Facebook), cyberattacks, pandemics, or other force majeure events.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For significant changes, we will provide at least 30 days' notice via email or in-app notification. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance.

16. General Provisions

  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SocialSgnl regarding the Service and supersede all prior agreements.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
